Definitions

Callan Online: Callan Online Ltd, a company registered in the UK with registered offices at 705 The Chandlery, 50 Westminster Bridge Road, London SE1 7QY, UK. Our VAT number is GB 244811024

The Website: the website and other online assets hosted at www.callanonline.com.

The Platform: the systems that are accessed through the Website and which enable online English language lessons to be offered by Tutors and purchased by Students including display of Lesson availability, booking and payment processes and tracking of progress and performance.

User: anyone who uses the Website or the Platform

Student: anyone who registers as a Student for the purpose of purchasing and receiving Lessons

Tutor: anyone who applies and is accepted by Callan Online as an independent provider of Lessons

Lesson: a pre-arranged time period, paid for by the Student, during which a Tutor teaches the English language to one or more Students

General

This Agreement is made between Callan Online and all Users.
All the terms and conditions contained in this Agreement apply to all sales and agreements between Callan Online and Users and to any usage by Users of the Website and the Platform.
By using the Website or the Platform as a User you are agreeing to the all the terms of this Agreement.
The User Agreement constitutes a legally binding agreement between you and Callan Online.

Service

Callan Online provides a platform where Users can purchase language lessons and related products, 24 hours a day, 7 days a week. The platform is accessed online through the website www.callanonline.com.
In order to register as a Student with Callan Online you will be required to complete the application form on the Callan Online website.
You will be required to choose a username/email, password, and Skype ID in order to complete the application. You will be held responsible for all actions committed with the use of your username and password and must therefore take all measures necessary to protect these details. You must not permit anyone else to enter the Callan Online website using your username and password.
Callan Online's services are not open to minors under the age of 18, without explicit prior consent of their parent or guardian. A Callan Online Student registration is personal and not transferable.
You will not in any way restrict or inhibit any other User from using and enjoying the Callan Online website. You will use the website only for lawful purposes and you are prohibited from posting on or transmitting through the Callan Online website any material that Callan Online in its sole discretion judges to be unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, discriminatory, profane, hateful, fraudulent, racially, ethnically or otherwise objectionable.
You will not access the Callan Online website by any means other than through the User Interface that is provided by Callan Online.
By using the Website, whether or not you register as a Student, you acknowledge that Callan Online owns the copyright to all material published on the Callan Online website and ancilliary materials. You further acknowledge that Callan Online owns the copyright and the international trademarks in the name Callan Online and The Callan Method.
You will not reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes any portion of the Callan Online website, use of the Callan Online website or access to the Callan Online website without Callan Online's prior written consent.
You will not make any separate arrangements with Callan Online's Tutors. Callan Online may provide contact details of their Tutors to you with the sole purpose of facilitating communication about and during lessons. You will not use this information for any other purposes, and will not share this information with third parties.
Callan Online may terminate or suspend your access to all or part of the website, without notice, for any conduct that Callan Online, in its sole discretion, believes is in violation of any applicable law or is harmful to the interests of another user, a third party or Callan Online.
Despite any other established legal rights, Callan Online is entitled, at its own choice, in case of 'force majeure., to cancel a lesson booking, or cancel this User Agreement without legal intervention, by informing you in writing. You are not entitled to any damages, unless, given the circumstances, such cancellation would be unacceptable according to measures of reason and fairness.
All communication between Callan Online and you will be electronic; through email or notices posted on the Website. Callan Online reserves the right to record lessons for purposes of teaching quality control.

Prices, Payment and Delivery

Prices will be at the levels and in the currencies as published from time to time on the Callan Online website. Payment methods will be as described on the website. Services will be delivered at the time and date reserved using the online booking system on the Callan Online website once payment has been received.
From time to time we offer discounts or promotions which are subject to the following conditions:
- A promotion or discount may not be combined with any other promotion or discount
- Promotions may not be used for lessons that have already been booked

Cancellations and refunds

Every effort will be made to provide Lessons that have been booked, and where necessary Callan Online will use its best endeavours to find replacement Tutors.
If Callan Online is unable to supply a Lesson that has been paid for, you may choose either a replacement lesson or a full refund within 14 days of cancellation. Callan Online's liability is limited to refunding the price of the Lessons that have not been delivered on a pro rata basis.
Your right to cancel - After you have purchased and paid for Lessons you have the right, for 7 working days after the payment date, to cancel and receive a full refund unless you have booked and received a Lesson to a satisfactory standard.
You must inform Callan Online in writing via email of your intention, and must follow all further cancellation instructions as stipulated by Callan Online. Callan Online will then reimburse you within 14 days. This guarantee does not apply if the Lesson has been provided.

Liability

Callan Online is not liable for any damage of any kind resulting from the use of the Website or the Platform.
Callan Online takes steps to ensure that the information provided by Tutors in their profile descriptions is accurate and up-to-date. However Callan Online cannot guarantee the accuracy of the information provided by Tutors and will assume no liability for any direct or consequential damage of any kind resulting from transactions or decisions based on this information.
Callan Online will use reasonable endeavours to ensure that the Website and the Platform are fully operational at all times. Due to the nature of the internet, Callan Online cannot guarantee that the Website and the Platform will be free from delays, interruptions or errors. Callan Online will take all reasonable efforts to ensure that information on the Website is correct, but cannot give representations or warranties, express or implied, in relation to the accuracy or completeness of the said information.
Callan Online takes precautions to protect personal data collected through the website, but in the event that Callan Online's system is infiltrated by unauthorized third parties, Callan Online will not be liable for any resulting misuse of personal data.
Any of Callan Online's liability resulting from use or visitation of the website will be limited to direct damages and an amount up to the price paid for Lessons during the 3 month period prior to any claim. Liability to indirect damages is in all circumstances excluded.
Without prejudice to the provisions set out above, Callan Online will not be liable for damage caused by intentional act or omission or gross negligence by the User, or by improper use of the Lessons and/or related products provided to the User.

In the case of queries or complaints concerning any Callan Online services, Tutors, products or procedures, please email (support@callanonline.com). You will receive a reply within three working days.

Applicable Law and Jurisdiction

This User Agreement is governed by the laws of England and Wales and the parties submit to the jurisdiction of the courts of England and Wales, with the exclusion of the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980. In the case of translation or explanation of the contents of Callan Online's website, the English version of the text in the website and these General Terms and Conditions will remain determinate.
